This is a binding legal agreement. By signing below, you agree to the terms of the PracticeAmerica Buyer Registration Agreement, including the Non-Circumvention clause. We strongly recommend reading the full agreement before signing.
This Agreement is entered into between PracticeAmerica LLC ("Broker") and the undersigned physician ("Buyer"). By signing this Agreement, Buyer agrees to the following terms as a condition of accessing confidential practice listing information through the PracticeAmerica platform.
PracticeAmerica operates as a marketplace connecting physician sellers with physician buyers for the confidential sale and purchase of medical practices. Broker facilitates introductions, provides deal tools, and supports the transaction process. Broker is not a licensed securities broker and this Agreement does not create an agency relationship.
Buyer acknowledges that PracticeAmerica charges sellers a transaction fee of five percent (5%) of the total purchase price at closing. Buyer agrees that this fee structure does not create any financial obligation on the part of the Buyer.
If Buyer circumvents this Agreement and completes a transaction with any seller introduced through PracticeAmerica without Broker's involvement, Buyer shall owe PracticeAmerica a fee equal to five percent (5%) of the total transaction value, plus reasonable attorney's fees and costs of enforcement. Buyer acknowledges this is a reasonable estimate of damages.
Buyer agrees to hold in strict confidence all confidential information disclosed through the PracticeAmerica platform, including but not limited to: financial statements, patient volume data, staff information, real estate details, seller identity, and any other information marked or understood to be confidential. Buyer shall not disclose confidential information to any third party without prior written consent of the seller and PracticeAmerica.
Confidential information provided through PracticeAmerica may be used solely for the purpose of evaluating a potential acquisition of the listed practice. Any other use is strictly prohibited.
Buyer represents and warrants that they are a licensed physician in good standing with their state medical board. Buyer agrees that any misrepresentation of credentials is grounds for immediate termination of access and may result in legal action.
Buyer represents and warrants that they are acting as an individual physician buyer, and not as an agent, representative, or employee of any private equity firm, dental service organization (DSO), management services organization (MSO), or any corporate entity whose primary purpose is the aggregation of medical practices. Violation of this representation is grounds for immediate termination and legal action.
This Agreement is effective upon execution and continues indefinitely, subject to the Non-Circumvention clause which survives termination for 24 months from the date of each introduction. PracticeAmerica may terminate Buyer's access at any time for violation of these terms.
This Agreement shall be governed by the laws of the state in which PracticeAmerica LLC is registered. Any disputes shall be resolved through binding arbitration in that jurisdiction.

By submitting this registration, you confirm all information is accurate and you are bound by the PracticeAmerica Buyer Registration Agreement signed in Step 4. Misrepresentation of credentials or circumvention of the platform agreement may result in legal action.
